The scene in the fun-house hall of mirrors is not gory or graphic, but quite intense. It may be a little frightening to younger viewers.

The Lady from Shanghai, having been released in the 1940's, was not rated using today's rating system; it was simply "Approved".
Most likely rating it would be given by the MPAA today: PG-13 for violence, smoking, and alcohol use.
