Rupert Murdoch and the Murdoch Family Trust will not vote in favor of a Fox-News Corp. merger unless the combination has the blessing of special committees of outside directors, and of non-Murdoch affiliated stockholders.
The boards of both companies issued statements Tuesday in an “update on the process in response to recent inquiries.” Special committees began exploring a recombination of the two companies last month at Murdoch’s request, prompting some blowback by some outside investors who don’t think it’s in the best interests of either.
“Mr. Murdoch and the Murdoch Family Trust will not vote in favor of a transaction unless it is both recommended by the Special Committee and approved by a majority vote of the shares held by non-affiliated stockholders entitled to vote,” Fox and News Corp. said today in dueling SEC filings.

Kelly Ayotte, the former U.S. Senator from New Hampshire who said last fall she would not vote for Donald Trump, was elected to the News Corp board of directors, the company announced Monday. Ayotte, who was defeated last November in her re-election bid by former Gov. Maggie Hassan after serving just one term, joined the company’s board effective April 1. She replaces Elaine Chao, who resigned from the board upon her confirmation as President Trump’s Secretary of Transportation. Donald Trump’s 2005 comments about groping women were apparently the last straw for Republican Sen. Kelly Ayotte, who has rescinded her support of Donald Trump. “I wanted to be able to support my party’s nominee, chosen by the people, because I feel strongly that we need a change in direction for our country,” she posted on Twitter. “However, I’m a mom and an American first, and I cannot and will not support a candidate for president who brags about degrading and assaulting women. I will not be voting for Donald Trump or Hillary Clinton and instead will be writing in.

It should come as no surprise that Morning Joe got riled up over gun control today. In the absence of Joe Scarborough, Mika Brzezinski and Donny Deutsch took charge of the topic — specifically targeting Sen. Kelly Ayotte (R-nh), who recently was confronted again over her vote against expanded background checks. Ayotte's vote, Deutsch posited, may be "even more surprising" because she's a woman.

After being confronted at a town hall meeting by the daughter of slain Sandy Hook Elementary School Principal Dawn Hochsprung, Senator Kelly Ayotte (R-nh, NRA rating=A) faced another tough question about her "no"vote on the Toomey/Manchin background check bill. At another town hall meeting on Thursday, Sen. Ayotte was once again asked to explain her vote against background checks, and responded with the fiction that President Obama angrily called out after that vote, that it would somehow lead to a national registry that's already illegal, and which Toomey/Manchin would have made even more illegal.
