A love triangle develops in this film, and there are scenes of passionate kissing and caressing between a few different characters. Peter and MJ make out in a web hammock. MJ kisses Harry briefly, but passionately.

Peter walks down the street and points suggestively at women, and it looks like he even touches one of their backsides. He later dances suggestively at a club with Gwen. He kisses Gwen (as Spider-man) passionately in front of MJ. MJ is seen in a few low-cut dresses

Eddie makes a sexual quip talking about his "spider sense tingling"

Violence & Gore

Peter fights the New Goblin in a mid-air battle. They crash through walls and windows, and into each other. The action remains mostly bloodless. In the fight, Peter's torso is cut with a blade (a mild cut is briefly seen), and Harry flies into an explosion, and then hits a tight wire web string and bangs into several objects before falling to the ground, unconscious. His forehead is bloody.

Spider-man fights the Sandman in an armored truck. Spider-man is bashed into cars and the truck itself trying to hang on, and is whacked around by Sandman. Sandman engulfs police officers and others in a sandstorm, and tries to drown two security guards in sand. The truck crashes violently, but everyone is okay.

The two fight later in a subway, and this fight is more brutal. Spider-man holds Sandman's head right into an oncoming train, causing half of his head to briefly disappear (in sand). He eventually turns the Sandman to mud with a flood of sewer water.

Peter and Harry fight inside Harry's mansion. Harry stabs Peter in the side with a knife (the bloody weapon is briefly seen), and the two fist fight and smash each other into furniture, windows and walls. Harry's mouth becomes very bloody. In the end, Peter flings an explosive at Harry's face (we see it explode, and we sort of see Harry's face incinerate) His face is seen with scars later.

The final fight involves most of the above all at once. Spider-man, Harry, and MJ fly back and forth and are knocked around by Sandman and Venom. Vehicles are crushed, characters narrowly avoid death, and explosions take apart Sandman. Peter is beaten across the face with a steel spike rod, and his face is partially bruised. Harry is stabbed through the chest with a double blade, and we see the two blades poking out of his chest briefly. He dies later. Eddie jumps into an explosion, and his skeleton is seen very briefly

Gwen and others are stuck in a high story building as a crane takes out the top floor. Furniture crashes to the ground hundreds of feet below, and we see a few bystanders being knocked away by impact. Gwen is knocked off by a desk, and is saved by Spider-man.

Profanity

3 anatomical terms (2 that sound like crude anatomical references when a man with a French accent mispronounces Parker into "pecker"), 2 mild obscenities, name-calling (nerd, crook), 7 religious exclamations, and one loud use of "damn." Also, "ass" is used once.

A man drinks alcohol in a few scenes, and a man orders champagne (he is not shown drinking it).

The New Goblin, Sandman, and Venom might be unsettling or scary to some younger kids. In one particularly frightening scene, a rather small glob of venom climbs up Spider-Man's bed at night and engulfs him. In another scene, Venom becomes its own monster without any life from humans.

Throughout the movie, a man is trying to find a cure for his sick daughter with unsuccessful results. This can be sad for some.

The Sandman turns into a giant made of sand in two scenes. This can be frightening for children since the giant Sandman is heard roaring and groaning in a deep, monstorous voice.

The Sandman informs Peter towards the end of the movie that he killed his uncle Ben by accident, and they both feel emotional, after Peter says he forgives him

The end scene is very, very sad.

The ending is quite depressing.

There is a jump scene where Mary Jane tries to pick up the phone, and the New Goblin grabs her on the neck and slams her on a wall in a very jumpy way.
